Summary

Welcome to Vortex Files! This document explains the rules for using our service. We've written it in plain English so you can actually understand it. If you don't agree with these terms, please don't use our service.

The basics:

You must be 16+ to use Vortex Files
You own your content, we just store and deliver it
We bill through Wix Payments with clear pricing
You're responsible for what you upload and who you invite
You assume liability when inviting collaborators to projects
We can suspend accounts that break the rules
UK law applies

1. Service Description and Eligibility

1.1 What Vortex Files Does

Vortex Files is a project-based client delivery platform that helps creative professionals, agencies, and businesses:

Upload and store files securely (up to 500GB depending on plan)
Organize files into projects for different clients
Share files through branded client portals
Collaborate with team members
Deliver work professionally with magic link authentication

We integrate with Wix for billing and authentication, making it easy to add Vortex Files to your existing Wix site.

1.2 Who Can Use Vortex Files

You may use Vortex Files if you:

Are at least 16 years old
Have the legal capacity to enter into contracts
Are not prohibited from using the service under UK law
Agree to comply with these Terms of Service

Business Accounts: If you're using Vortex Files for a company or organization, you represent that you have authority to bind that entity to these terms.

Wix Users: If you install Vortex Files through the Wix App Market, you also agree to Wix's Terms of Use.

1.3 What Vortex Files Is Not

Vortex Files is designed for business file delivery and client portal management. It is not:

A backup service (though we do store your files securely)
A permanent archive (we have retention policies)
A file sync service like Dropbox or Google Drive
A content distribution network for public file hosting

2. Account Registration and Responsibilities

2.1 Creating an Account

To use Vortex Files, you need to:

Provide accurate information: Name, email, company name (if applicable)
Verify your email: Click the magic link we send you
Choose a subscription plan: Starter, Teams, or Studio
Connect through Wix: If using the Wix integration, complete OAuth authorization

2.2 Account Security

You are responsible for:

Keeping your login credentials secure (we use magic links, but protect your email account)
All activity under your account (whether authorized or not)
Notifying us immediately if you suspect unauthorized access

We are not responsible for losses caused by unauthorized account use unless it results from our security breach.

3. Acceptable Use and Prohibited Activities

3.1 Acceptable Use

You may use Vortex Files for lawful business purposes, including:

Delivering client projects (design work, photos, videos, documents)
Sharing files with clients and team members
Organizing project files and communications
Managing client portals for your business

3.2 Prohibited Content

You may not upload, store, or share content that:

Violates laws: Illegal content, stolen intellectual property, regulated data without authorization
Harms others: Malware, viruses, phishing attempts, hacking tools
Infringes rights: Copyrighted material without permission, trademarked content, private information without consent
Is harmful: Child exploitation material, violent extremism, terrorism-related content
Violates privacy: Personal data without proper consent, leaked private information
Constitutes abuse: Harassment, hate speech, discrimination, threats

3.3 Invitation Abuse Prevention

The following invitation practices are strictly prohibited:

a) Data Harvesting: Inviting users for purposes of data harvesting or competitive intelligence gathering
b) Bulk Invitations: Bulk-inviting users without a legitimate project-related purpose
c) Compensation Schemes: Sharing project access as compensation for unrelated services
d) Payment Circumvention: Circumventing payment requirements by excessive free collaborator invitations
e) Malicious Content Distribution: Inviting users to projects containing malicious content or phishing schemes

Violation of these policies may result in immediate account suspension and termination of service.

3.4 Consequences of Violations

If you violate these terms, we may:

Issue a warning (for minor first-time violations)
Remove specific content (for prohibited material)
Suspend your account (for serious or repeated violations)
Terminate your account (for severe violations like illegal content)
Report to authorities (for criminal activity)

4. User Responsibilities and Content Rights

4.1 Your Content

You own everything you upload.

Vortex Files does not claim ownership of your files, projects, or content.

When you upload content, you grant us a limited license to:

Store your files on Cloudflare R2
Display content in your client portals and projects
Transmit files when you share them with clients or team members
Process content to provide service features (thumbnails, previews, search)

This license ends when you delete content or close your account.

4.2 Copyright Infringement (DMCA)

We respect intellectual property rights. If you believe content on Vortex Files infringes your copyright:

Send a DMCA notice to: compliance_vortexfiles@qvxx.ai

Include:

Your contact information
Description of copyrighted work
Location of infringing content (URL or file path)
Statement of good faith belief
Statement of accuracy under penalty of perjury
Physical or electronic signature

We will investigate within 72 hours and remove infringing content if the claim is valid.

4.7 Collaborative Invitations

When you invite other users ("Collaborators") to access a project:

a) Authority Representation:

You represent and warrant that you have the legal authority to share project content with invited Collaborators and that doing so does not violate any confidentiality agreements, non-disclosure agreements, or intellectual property rights.

b) Indemnification:

You agree to indemnify, defend, and hold harmless Vortex Files, the project owner (if different from you), and the agency managing the project from any claims, damages, or liabilities arising from:

Unauthorized disclosure of confidential information
Copyright or trademark infringement
Breach of third-party agreements
Violation of privacy rights

c) Permission Scope:

Invited Collaborators receive access only to the specific project you shared, with the permissions you designated (view-only, comment-only, or edit access). You are responsible for ensuring appropriate permission levels.

d) Revocation Rights:

The project owner and agency admin retain the right to revoke any invitation at any time without notice.

e) Data Protection:

By inviting Collaborators, you acknowledge that they will have access to all project files, comments, and metadata within that project. You are responsible for ensuring invited parties have legitimate need for such access.

5. Subscription, Billing, and Payment Terms

5.1 Pricing Plans

All prices in USD. Billed monthly or annually through Wix Payments.

Annual plans receive 15% discount.

5.2 Billing Through Wix

All payments are processed through Wix Payments.

We do not store your credit card information.

Payment terms are governed by Wix's payment terms in addition to these Terms of Service.

5.3 Subscription Renewals

Subscriptions automatically renew on your billing cycle (monthly or annual) unless you cancel.

Monthly plans: Renew on the same day each month
Annual plans: Renew on the anniversary of your subscription date

You will be charged automatically until you cancel. We'll send a reminder email 7 days before renewal.

5.4 Cancellation and Refunds

Cancellation:

You may cancel anytime through:

Your Vortex Files account settings
Your Wix dashboard (if installed via Wix App Market)
Email to support_vortexfiles@qvxx.ai

Cancellation takes effect at the end of your current billing period. You retain access until then.

Refund Policy:

14-day money-back guarantee for new subscriptions (no questions asked)
Pro-rated refunds are not available for partial months
Annual plans: Refundable within 14 days, no refunds after
Overages and additional fees: Non-refundable

6. Service Availability and Support

6.1 Service Level Commitment

We strive for 99.9% uptime (excluding scheduled maintenance).

Service Credits (if we fall below 99.9%):

6.2 Support Services

7. Limitation of Liability

7.1 Service Provided "As Is"

Vortex Files is provided "AS IS" and "AS AVAILABLE" without warranties of any kind.

7.2 Limitation of Damages

To the maximum extent permitted by UK law:

QVXX Ltd.'s total liability for any claims arising from your use of Vortex Files is limited to the amount you paid in the 12 months before the claim.

We are not liable for:

Indirect damages: Lost profits, revenue, business opportunities
Consequential damages: Data loss, service interruption costs
Incidental damages: Costs of substitute services
Punitive damages: Penalties beyond actual harm

7.3 Third-Party Actions

Vortex Files is not liable for:

Actions by invited users: Any actions taken by users you invite to projects, including unauthorized sharing, misuse, or disclosure of project content
Unauthorized content sharing: Unauthorized sharing of project content by your invitees to third parties
Data misuse by collaborators: Misuse of project data by collaborators you authorize, including copying, distributing, or commercializing content
Competitive intelligence gathering:Competitive intelligence gathering or industrial espionage by invited parties
Intellectual property violations:Copyright, trademark, or patent infringement by invited collaborators

You acknowledge that when you grant access to a project, you assume responsibility for vetting the appropriateness of that access and any consequences arising from it.

7.4 Exceptions to Limitations

These limitations do not apply to:

Death or personal injury caused by our negligence
Fraud or fraudulent misrepresentation
Gross negligence or willful misconduct
Violations that cannot be limited by law

7.5 Data Loss and Backup Responsibility

You are responsible for maintaining backups of your data.

We do not guarantee against data loss and are not liable for any loss of your files or data.

We strongly recommend:

Keeping local copies of critical files
Using version control for important documents
Maintaining backups independent of Vortex Files

8. Termination and Suspension

8.1 Termination by You

You may terminate your subscription anytime by canceling in account settings, Wix dashboard, or emailing support.

Termination takes effect at end of current billing period unless you request immediate termination.

Upon termination:

You lose access to files and projects
Your data is retained for 30 days (soft delete)
After 30 days, all data is permanently deleted
No refunds for partial months (except within 14-day guarantee)

To download your data before termination: Use the data export feature in account settings.

9. Dispute Resolution and Governing Law

9.1 Governing Law

These Terms of Service are governed by the laws of England and Wales, without regard to conflict of law principles.

9.2 Consumer Rights (UK and EU)

Nothing in these terms limits your statutory consumer rights under UK Consumer Rights Act 2015, EU Consumer Rights Directive, or other mandatory consumer protection laws.

10. Changes to Terms

10.1 Notice of Changes

Material changes (affecting your rights or obligations):

60-day advance notice via email
Notification banner in dashboard
Updated "Last Modified" date

10.2 Acceptance of Changes

By continuing to use Vortex Files after changes take effect, you accept the new terms.

If you do not agree with changes, you must cancel your subscription before the effective date.

Privacy Matters
